Konnector hereinafter referred to as the "Company" (where such expression shall, unless repugnant to the context thereof, be deemed to include its respective legal heirs, representatives, administrators, permitted successors and assigns). The Company ensures steady commitment to your usage of the Platform and privacy with regard to the protection of your invaluable information. This document contains information about the Website "Konnector" hereinafter referred to as the "Platform".
For the purpose of these Terms of Use ("Terms"), wherever the context so requires:
- "We", "Our", and "Us" shall mean and refer to the Domain and/or the Company, as the context so requires.
- "You", "Your", "Yourself", "User", shall mean and refer to natural and legal individuals who use the Platform and who is competent to enter into binding contracts, as per the laws of United States of America.
- "Services" shall refer to offerings provided by the Company.
- "Third Parties" refer to any Application, Company or individual apart from the User, and the creator of this Platform.
- The term "Platform" refers to the Website/Domain created by the Company which provides the Client to avail services of the Company through the use of the platform.
Registration
Registration is mandatory to use the Services of the platform. If the User fails to register on the Platform, they will be unable to avail the Services on the Platform.
- The Users are provided with an option to link their Facebook accounts, Google Account, Twitter account and Apple ID with the Platform at the time of their registration.
- Registration for this Platform is available only to those above the age of Eighteen (18) years.
- The Registration and use of the Platform are chargeable and the same can be amended at any time at the sole discretion of the Company.
- You are solely responsible for protecting the confidentiality of Your Username and password.
Platform Overview
The Platform aims at improving efficiency of inbound leads converting to meetings, thereby enhancing the chances of the prospect converting into a customer for our clients.
Eligibility
The Users further represents that they will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations. The Users may not use the Platform if they are not competent to contract.
Subscription
- You'll see the total price before completing payment.
- Konnector subscriptions purchased automatically renew upon the completion of the subscription period.
- To avoid renewal, you must turn off auto-renew at least 24 hours before your subscription ends.
- You can turn off auto-renew at any time from your account settings.
- Any unused portion of a free trial will be forfeited should you purchase a subscription.
- The plans available are subject to change at the sole discretion of the company.
- The user is allowed to subscribe to a plan, change a subscription plan or cancel a subscribed plan.
- Late charges with interest at the rate of 2.5% of the outstanding balance per month may apply for overdue payments.
Refund Policy
The User cannot seek a refund of any payment made on the Platform at any time after the payment has been processed by the Platform as a right. The Company processes a claim for refund solely at their discretion.
Content
- All text, graphics, User interfaces, visual interfaces, photographs, trademarks, logos, brand names, descriptions, sounds, music and artwork (collectively, 'Content'), is generated/provided by Platform.
- All the Content displayed on the Platform is subject to copyright and shall not be reused without prior written consent.
- Users have a personal, non-exclusive, non-transferable, revocable, limited privilege to access the Content on the Platform.
Term & Termination
- These Terms shall continue to form a valid and binding contract between the Parties.
- The Users may terminate their use of the Platform at any time.
- The Company may terminate these Terms and close a User's account at any time without notice.
- The Company reserves the right to deny access to particular Users without prior notice.
Communication
By using this Platform and providing identity and contact information to the Company, the Users agree and consent to receive calls, e-mails or SMS from the Company and/or any of its representatives at any time. Clients can report to varun@konnector.ai if they find any discrepancy.
Charges
- The Customer shall pay an amount for the services availed through the Platform directly to the Company via Credit/Debit, Internet Banking, or prescribed payment gateways.
- The Charges for all subscriptions are subject to change at the sole discretion of the company.
- The payment is processed through a third-party gateway (Stripe) and the User shall be bound by the third party's terms and conditions.
- The Company will not be liable for any credit or debit card fraud.
User Obligations
The Client agrees and acknowledges that they:
- Agree to provide genuine credentials during the process of registration.
- Agree to ensure all information provided during registration is valid and up-to-date.
- Are solely responsible for maintaining the confidentiality of account password.
- Authorize the Platform to use, store or process certain personal information.
- Are bound not to cut, copy, modify, recreate, reverse engineer, distribute, disseminate, post, publish or create derivative works without permission.
Suspension of User Access
The Company may limit the User's access and/or activity by removing access credentials either temporarily or indefinitely if:
- The User is in breach of any of these Terms or the Policy.
- The User has provided wrong, inaccurate, incomplete or incorrect information.
- The User's actions may cause harm, damage or loss to other Users or to the Company.
Indemnity
The Users agree to indemnify, defend and hold harmless the Company/Platform, and their respective directors, officers, employees and agents from and against any and all losses, liabilities, claims, damages, demands, costs and expenses arising out of or resulting from any breach of these terms.
Limitation of Liability
The Founders/Promoters/Partners/Associated people of the Company/Platform are not responsible for consequences arising out of connectivity errors, incorrect information provided by user, delays in communication, deficiency in services, or failure in platform functioning.
Intellectual Property Rights
All logos, trademarks, brand names, service marks, domain names, including material, designs, and graphics created by and developed by the Platform are the property of the Company or the respective copyright or trademark owner.
Force Majeure
Neither the Company nor the Platform shall be liable for damages for any delay or failure to perform due to Force Majeure events including acts of war, acts of God, earthquake, riot, fire, sabotage, labour shortage, internet interruption, technical failure, hacking, piracy, or unauthorized access.
Dispute Resolution and Jurisdiction
The formation, interpretation and performance of these Terms and any disputes arising therefrom will be resolved through Alternate Dispute Resolution (ADR) mechanism:
- Mediation: Parties will attempt to resolve disputes amicably within thirty (30) days.
- Arbitration: If mediation fails, disputes will be referred to arbitration by a sole arbitrator appointed by the Company. The arbitration shall be conducted in English, and the seat of Arbitration shall be at Delaware Chancery Court.
Miscellaneous Provisions
- Entire Agreement: These Terms form the complete and final contract between the User and the Company.
- Waiver: Failure to require performance of any provision shall not affect the right to enforce the same later.
- Severability: If any provision is held invalid, the remaining provisions shall remain in full force and effect.
